# Overview

This website is operated by Bitworks LLC, an Alabama limited liability company located at 475 Providence Main St, Suite 403, Huntsville, AL 35806. Throughout the site and these Terms and Conditions, the terms “Bitworks,” “we,” “us,” and “our” refer to Bitworks LLC. “Customer,” “you,” and “your” refer to the individual or entity accessing the website or purchasing products or services from Bitworks.

Bitworks offers this website, including all information, tools, products, and services available from this site, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here. By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by these Terms and Conditions (“Terms”), including the additional terms, conditions, and policies referenced herein and/or available by hyperlink.

Please read these Terms carefully before accessing or using our website or purchasing any product or service. If you do not agree to all of these Terms, you may not access the website, use any Service, or place an order.

# Business/Commercial Orders and the B2B Supplement

A “Business/Commercial Order” means any purchase by a customer acting in a business, commercial, or governmental capacity, and any purchase of configured, build-to-order, special-order, or enterprise hardware, in each case regardless of the channel through which the order is placed (including orders placed through the website store and orders placed pursuant to a written quotation). A “Website Order” means a standard, in-stock catalog purchase that is not a Business/Commercial Order.

Business/Commercial Orders are additionally governed by the [Supplemental Terms for Quoted and Enterprise Orders](https://www.bitworks.io/terms-and-conditions-b2b) (the “B2B Supplement”), which is incorporated into these Terms by reference. By placing a Business/Commercial Order, you represent that you are acting in a business, commercial, or governmental capacity and agree to the B2B Supplement.

In the event of any conflict, the order of precedence is: (1) the terms stated on the applicable Bitworks quotation (if any); (2) the B2B Supplement; and (3) these baseline Terms. These baseline Terms govern all use of the website and all Website Orders.

# Eligibility and Authority

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case “Customer,” “you,” and “your” refer to that entity.

You may not use our products for any illegal or unauthorized purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright and export-control laws). You must not transmit any worms, viruses, or any code of a destructive nature. A breach or violation of any of these Terms will result in immediate termination of your Services.

# Order Acceptance and Conflicting Terms

Confirmation of receipt of a Customer order or purchase order does not constitute acceptance by Bitworks. An order is accepted only when Bitworks confirms acceptance in writing or commences fulfillment. We reserve the right to refuse or cancel any order for any reason at any time, including after confirmation of receipt.

Any additional or different terms contained in a Customer purchase order, acknowledgment, or other communication are not binding on Bitworks unless expressly agreed to in writing by an authorized Bitworks representative.

# Pricing for Website Orders

Prices displayed on the website are subject to change at any time without notice and apply to Website Orders placed before any change. Pricing for Business/Commercial Orders is governed by any applicable quotation and the B2B Supplement.

Unless explicitly stated otherwise, listed prices do not include any applicable taxes, duties, tariffs, or additional fees, which are the responsibility of the Customer except to the extent valid exemption documentation is provided. All prices are quoted in U.S. dollars unless otherwise stated.

If Bitworks identifies a pricing error, Bitworks may refuse or cancel an order placed at the erroneous price, even after the order has been confirmed or payment has been charged, and will promptly issue a refund of any amount charged for the affected items.

# Payment Terms

Payment terms are as stated on the applicable invoice or quotation. Except for amounts paid in advance or by approved card transaction, payment is due upon receipt of invoice. Past-due balances accrue interest at the rate of 1.5% per month, or the maximum rate permitted by applicable law, whichever is lower, on the undisputed overdue balance. Customer is responsible for reasonable costs of collection, including attorneys’ fees, on overdue amounts.

A convenience fee may apply to certain payment methods. Any such convenience fee is non-refundable, including on order refunds before shipping or on returns, because Bitworks does not receive a refund of those fees from the payment processor.

# Returns

Standard, in-stock catalog products purchased as Website Orders may be returned in accordance with our [Return Policy](https://www.bitworks.io/return-policy). Configured, build-to-order, special-order, and enterprise hardware, and other Business/Commercial Orders, are Non-Cancellable and Non-Refundable as described in the B2B Supplement and are not eligible for return under the Return Policy.

# Accuracy, Completeness, and Timeliness of Information

We are not responsible if information made available on this site is not accurate, complete, or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions without consulting primary, more accurate, more complete, or more timely sources. Any reliance on the material on this site is at your own risk. We reserve the right to modify the contents of this site at any time but have no obligation to update any information.

# Optional Tools and Third-Party Links

We may provide access to third-party tools over which we neither monitor nor have any control, provided “as is” and “as available” without warranties of any kind. Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after you have submitted your order. We undertake no obligation to update or clarify information except as required by law.

# Prohibited Uses

In addition to other prohibitions set forth in these Terms, you are prohibited from using the site or its content: for any unlawful purpose; to violate any international, federal, state, or local regulations, rules, or laws; to infringe upon our or others’ intellectual property rights; to harass, abuse, or discriminate against others; to submit false or misleading information; to upload or transmit viruses or malicious code; to collect or track the personal information of others; to spam, phish, crawl, or scrape; for any obscene or immoral purpose; or to interfere with or circumvent the security features of the Service. We reserve the right to terminate your use of the Service for violating any prohibited use.

# Disclaimer of Warranties; Limitation of Liability

We do not guarantee that your use of our Service will be uninterrupted, timely, secure, or error-free, or that the results obtained will be accurate or reliable. To the maximum extent permitted by law, in no case shall Bitworks or its directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including without limitation lost profits, lost revenue, lost savings, loss of data, or replacement costs, whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Service or any product, even if advised of the possibility of such damages. Because some jurisdictions do not allow the exclusion or limitation of certain damages, in such jurisdictions our liability shall be limited to the maximum extent permitted by law. Nothing in these Terms limits any rights you may have under applicable consumer-protection law that cannot be waived.

# Indemnification

You agree to indemnify, defend, and hold harmless Bitworks and our affiliates, officers, directors, agents, contractors, licensors, service providers, suppliers, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party.

# Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by law, and the unenforceable portion shall be severed without affecting the validity and enforceability of the remaining provisions.

# Termination

The obligations and liabilities of the parties incurred prior to the termination date survive the termination of this agreement for all purposes. These Terms are effective unless and until terminated by either you or us. If we determine in our sole judgment that you have failed, or we suspect that you have failed, to comply with any provision of these Terms, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

# Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms, the B2B Supplement (where applicable), any applicable quotation, and any policies or operating rules posted by us constitute the entire agreement between you and us and govern your use of the Service and any purchase, superseding any prior agreements, communications, and proposals. Any ambiguities in the interpretation of these Terms shall not be construed against the drafting party.

# Governing Law and Dispute Resolution

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict-of-law principles. Subject to the optional arbitration provision below, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Madison County, Alabama for any dispute arising out of or relating to these Terms.

In any action to enforce these Terms, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and costs. Neither party may bring an action arising out of or related to these Terms more than two (2) years after the cause of action arose.

# Product Availability, Quantity Limits, and Allocation

All products are offered subject to availability. Inventory shown on the website is an estimate and may not reflect real-time stock, and some products are fulfilled from our facility while others ship directly from the manufacturer or a third-party supplier. If a product is or becomes unavailable, out of stock, oversold, back-ordered, or discontinued after you place an order, we may cancel the order in whole or in part and will promptly refund any amount charged for the affected items. We may, but are not obligated to, instead offer a back-order, an estimated lead time, or a comparable substitute product.

Because demand for certain GPUs and AI accelerators can exceed supply, we reserve the right to limit, allocate, or prohibit the quantity of any product purchased per person, per household, per organization, or per order, and to limit or refuse sales to any customer or reseller. These limits may be applied to orders that we reasonably believe are placed by or associated with the same account, the same payment method or card, or the same billing or shipping address.

# Export Controls and Trade Compliance

GPUs, AI accelerators, and related computing hardware sold by Bitworks may be subject to U.S. export control and economic sanctions laws, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, Bureau of Industry and Security (BIS), and sanctions administered by the U.S. Department of the Treasury, Office of Foreign Assets Control (OFAC). By placing an order, you represent and warrant that: (a) you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. sanctions or embargo; (b) you are not identified on any U.S. government restricted-, denied-, or blocked-party list, and are not owned or controlled by, or acting on behalf of, any such party; and (c) you will not export, re-export, transfer, or divert any product, directly or indirectly, in violation of applicable export control or sanctions laws, or for any prohibited end use.

You are responsible for complying with all applicable export, re-export, import, and sanctions laws and for obtaining any license or authorization required for your transaction or intended end use. Bitworks may screen orders for trade-compliance purposes and may, without liability, refuse, suspend, cancel, delay, or request additional information for any order, or decline to ship to any party or destination, where Bitworks determines that proceeding may violate, or create a risk under, applicable export control or sanctions laws. Any order cancelled on this basis will be refunded for any amount charged for the affected items.

# Fraud Prevention and Payment Verification

To protect our customers and Bitworks, we may verify your identity, billing details, and payment before accepting or fulfilling an order, and we may use fraud-screening and address-verification tools. We reserve the right to refuse, hold, or cancel any order that fails verification, that we reasonably suspect to be fraudulent or unauthorized, that involves a payment we are unable to verify or that is later reversed, charged back, or disputed, or that otherwise violates these Terms. Payment made by cryptocurrency, bank transfer, or other manually verified methods is not considered received until the funds have settled and been confirmed; orders may be cancelled if payment is not completed within a reasonable time, and any refund for such methods is issued in U.S. dollars based on the amount actually received.

# Changes to These Terms

You can review the most current version of these Terms at any time on this page. We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.
